If you use it on behalf of an organisation, you confirm that you are authorised to accept these Terms for it.

The website is operated by Banker Group (“Banker Group”, “we”, “us” or “our”), an international technology-integration and venture-development group based at 32 Raziel St, Ramat Gan, Israel. Where the context allows, references to Banker Group also cover the ventures presented on this website, such as Corterra 770, HydroQ, PreAur, OreKeep Cyber, NanoLit and NanoREE, without implying that Banker Group owns them.

We grant you a limited, non-exclusive, non-transferable and revocable right to view the website for your personal, non-commercial use, which includes considering whether to do business with us. No other right is granted. Unless we have agreed otherwise in writing, you may not:

copy, reproduce, modify, distribute, publish or create derivative works from the website or its content, or use our names or logos;
frame or mirror the website, or present its content as part of another website or service;

8. Your submissions

Our forms allow you to send us challenges, technologies, requests and other material (“Submissions”). By sending a Submission, you agree that:

No confidential information before an NDA. You will not include confidential or proprietary information (such as trade secrets, unpublished technical data or commercially sensitive information) until a written non-disclosure agreement (NDA) has been signed between you or your organisation and Banker Group. If you ask us to, we will send a mutual NDA before any detailed exchange.
No confidentiality without an NDA. We handle Submissions with discretion and in line with our Privacy Policy. However, unless an NDA is in place, a Submission is not treated as confidential and no confidential relationship arises from it.
No obligation. We are not obliged to review, evaluate, respond to or return a Submission, or to pay any compensation for it. A Submission does not create any agreement, partnership or other relationship between us.
Independent development. Banker Group and its ventures work on many technologies and may already be developing, or may later develop or acquire, ideas or solutions similar to yours. A Submission does not restrict our freedom to do so.
Licence to evaluate. You grant Banker Group a non-exclusive, royalty-free, worldwide licence to use, copy and store your Submission, and to share it as described in our Privacy Policy, solely to evaluate it and respond to you. You keep ownership of your intellectual property.
Your promises. You confirm that you are entitled to send the Submission; that doing so does not breach any confidentiality obligation, intellectual-property right or other right of a third party, including your employer; that it is accurate to the best of your knowledge; and that it contains no malicious code or unlawful material.

9. Acceptable use

You must use the website lawfully and in line with these Terms. In particular, you must not:

use it in a way that breaches any law or infringes the rights of others;
attempt to gain unauthorised access to the website, its servers or any connected system, or interfere with its operation or security features;

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited by law, such as liability for fraud or wilful misconduct.

13. Indemnity

To the extent permitted by law, you will indemnify Banker Group, its group ventures and their directors, officers, employees and agents against any claims, losses, liabilities and reasonable costs, including legal fees, arising from your breach of these Terms or from any Submission you send, including any claim that it infringes a third party’s rights.

14. Governing law and jurisdiction

These Terms, and any dispute or claim arising from or in connection with them or the website, including non-contractual disputes or claims, are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. The competent courts of Tel Aviv-Jaffa, Israel, have exclusive jurisdiction. This does not deprive you of any mandatory protection given to consumers by the law of the country where you live, including any right to bring proceedings there.

15. Changes

We may amend these Terms at any time by publishing an updated version on this page with a new effective date. The updated Terms apply from that date, and by continuing to use the website you accept them. We may also change, suspend or withdraw any part of the website at any time.

16. General

If any provision of these Terms is held invalid or unenforceable, the rest remains in force. A failure or delay in enforcing any provision is not a waiver of it. These Terms, together with our Privacy Policy and Cookie Policy, form the entire agreement between you and us about your use of the website; any separate written agreement with us, such as an NDA, prevails over them. These Terms are published in English and Portuguese; if the versions differ, the English version prevails to the extent permitted by law.
